1. SELLER IDENTIFICATION

These General Terms and Conditions govern the purchase and sale of vehicles carried out by:

Hereinafter, “NL AUTO GROUP”.

2. OBJECT

These General Conditions regulate the sale of used vehicles, as well as the complementary services offered by NL AUTO GROUP to consumers and professionals.

These conditions will apply to all sales made in person, by phone, electronically or through the website.

Placing an order or signing a contract implies full acceptance of these terms and conditions.

3. VEHICLE INFORMATION

NL AUTO GROUP makes every reasonable effort to ensure the accuracy of the information published about the vehicles.

The photographs, descriptions, mileage, equipment and other characteristics are for informational purposes and may contain unintentional material errors.

The buyer acknowledges having received sufficient information about the vehicle before finalizing the purchase.

4. INSPECTION AND ACCEPTANCE

The buyer declares having had the opportunity to:

* Inspect the vehicle personally.
* Request additional photos and videos.
* Obtain information about the general condition of the vehicle.
* Commission an independent inspection at your own expense.

Normal signs of use, wear, aging or deterioration consistent with the age and mileage of the vehicle do not constitute defects.

5. MILEAGE AND VEHICLE HISTORY

Information regarding mileage, maintenance history, previous ownership, and other background information is based on data obtained from official records, technical documentation, inspection bodies, specialized suppliers, and previous owners.

NL AUTO GROUP will not be liable for any historical inaccuracies that could not reasonably be detected at the time of sale, except in cases of fraud or gross negligence.

6. RESERVATIONS AND EARNEST MONEY

NL AUTO GROUP may request an amount as a reservation or deposit.

Unless otherwise agreed in writing, the amounts delivered will have the character of earnest money in accordance with article 1454 of the Civil Code.

If the buyer withdraws from the transaction, they will lose the amount paid.

If NL AUTO GROUP withdraws without justification, it will return double the amount received.

7. PRICE AND PAYMENT METHOD

All prices are expressed in euros.

Ownership of the vehicle will remain with NL AUTO GROUP until full payment of the price, taxes, transport costs and other agreed amounts.

Payment methods previously authorized by the company will be accepted.

8. FINANCING

When the operation depends on financing, this circumstance must be expressly stated in writing.

The refusal of a financing request will not automatically imply the return of amounts paid as a reservation unless otherwise agreed in writing.

9. VEHICLE DELIVERY

Delivery can be made:

* At the NL AUTO GROUP facilities.
* At the buyer's address.
* In any other place agreed between the parties.

NL AUTO GROUP makes deliveries throughout the Spanish peninsula using its own means or collaborating transport companies.

Delivery times will be estimated.

10. TRANSPORT AND RECEPTION

The buyer must inspect the vehicle at the time of delivery.

Any visible damage related to transportation must be reported in writing within 24 hours of receipt.

After this period, the vehicle will be presumed to have been received in good external condition, without prejudice to the inalienable rights recognized to consumers.

11. TRANSMISSION OF RISK

The risk regarding the vehicle will be transferred to the buyer from the moment of actual delivery.

12. CONSUMER GUARANTEE

Consumers will enjoy a minimum commercial warranty of twelve (12) months on the vehicles purchased.

This guarantee complements the rights recognized by Spanish consumer protection legislation.

Before carrying out any repairs, the buyer must obtain prior written authorization from NL AUTO GROUP.

NL AUTO GROUP may inspect the vehicle or designate the workshop in charge of the repair.

13. WARRANTY EXCLUSIONS

The following are excluded from the warranty:

* Elements subject to normal wear and tear.
* Maintenance operations.
* Damage due to improper use.
* Accident damage.
* Damage resulting from lack of maintenance.
* Modifications made by third parties.
* Sports or competition use.
* Damage caused by external factors.

Wear items include, among others:

* Tires.
* Clutch.
* Brake pads and discs.
* Windshield wiper blades.
* Batteries.
* Light bulbs.
* Filters.
* Maintenance fluids.

14. SALES TO COMPANIES AND PROFESSIONALS

Transactions carried out with entrepreneurs, professionals or companies will be of an exclusively commercial nature.

Unless otherwise expressly agreed in writing:

* No commercial warranty will be provided.
* The vehicle will be sold in its current condition.
* The professional buyer declares that they possess the necessary knowledge to evaluate the vehicle or have received sufficient technical advice.

15. LIMITATION OF LIABILITY

To the extent permitted by applicable law, NL AUTO GROUP will not be liable for:

* Loss of profits.
* Lost profits.
* Indirect damages.
* Hotel costs.
* Replacement vehicles.
* Travel expenses.
* Accommodation expenses.
* Commercial losses.
* Business interruption.

NL AUTO GROUP's maximum liability will be limited to the amount actually paid by the buyer, unless otherwise required by law.

16. FORCE MAJEURE

NL AUTO GROUP will not be liable for delays or non-performance resulting from circumstances beyond its reasonable control, including strikes, natural phenomena, pandemics, armed conflicts, government restrictions, logistical incidents, or supplier failures.

17. DATA PROTECTION

Personal data will be processed in accordance with the General Data Protection Regulation (GDPR) and current Spanish legislation.

18. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by Spanish law.

When the buyer has the status of a consumer, the courts and tribunals determined by consumer protection regulations will have jurisdiction.

When the buyer acts as a businessperson or professional, both parties expressly submit to the Courts and Tribunals of Castellón, waiving any other jurisdiction that may correspond to them.

19. VEHICLE CONDITION AND NORMAL WEAR AND TEAR

The buyer expressly acknowledges that they are acquiring a used vehicle whose general condition is consistent with its age, mileage, usage history and market value.

Used vehicles may exhibit normal signs of wear and tear, including but not limited to minor scratches, gravel impacts, interior wear, slight aesthetic deformations, discoloration, cosmetic repairs, or any other sign reasonably compatible with ordinary use of the vehicle.

These circumstances do not constitute defects, hidden flaws or lack of conformity and will not give rise to a claim, repair, replacement, price reduction or termination of the contract.

20. AESTHETIC AND COSMETIC DEFECTS

Unless otherwise agreed in writing, the aesthetic characteristics visible and communicated to the buyer before the sale are considered accepted by the buyer.

No subsequent claims will be accepted relating to cosmetic defects, minor visual imperfections or aesthetic damage that were visible or reasonably detectable before delivery.

21. VEHICLE MAINTENANCE AND WARRANTY PRESERVATION

To maintain warranty coverage, the buyer must comply with the maintenance instructions established by the vehicle manufacturer.

Failure to comply with maintenance intervals, the use of non-approved parts, or the performance of unauthorized repairs may result in the total or partial exclusion of warranty coverage when there is a relationship between said non-compliance and the claimed breakdown.

The buyer must keep the invoices and maintenance receipts throughout the warranty period.

22. EXCLUSION OF REPLACEMENT VEHICLE

Unless otherwise expressly agreed in writing, the warranty does not include the provision of a replacement vehicle.

Furthermore, NL AUTO GROUP will not assume expenses related to vehicle rental, taxis, alternative transport, accommodation, travel, loss of income or any other indirect expenses arising from a breakdown or immobilization of the vehicle.

23. LIMITATION OF MAINTENANCE COVERAGE

The warranty offered by NL AUTO GROUP covers exclusively the breakdowns or defects covered by the applicable warranty conditions.

Under no circumstances will the warranty include periodic maintenance operations, scheduled inspections, oil changes, filters, fluids, belts, tires, brakes, batteries, windshield wiper blades or any other element subject to normal wear and tear or preventive maintenance.
